Terms of Service
These Terms of Service (“Terms”) govern your access to and use of ArcAngel Academics (the “Service”), provided by ArcAngel Technical Services, LLC, a Kansas limited liability company (“we,” “us,” “ArcAngel Academics”). By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a school or organization, you represent that you are authorized to bind it.
1. Definitions
- “School” — the homeschool, co-op, or public or private school that operates an account.
- “Authorized Users” — staff, parents/guardians, and students the School permits to use the Service.
- “Student Data” — information about students that the School enters or generates in the Service.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to create a School account. Students and parents may use portal access that the School grants them. You are responsible for keeping login credentials confidential and for activity under your account.
3. Your responsibilities regarding Student Data
You represent and warrant that, for every student whose information you enter or manage, you have the authority and all necessary consents to do so and to have ArcAngel Academics process that information to provide the Service — whether as the student’s parent (homeschools) or as the school authorized to act on parents’ behalf. You are responsible for the accuracy of the data, for managing your Authorized Users and their permissions, and for using the Service in compliance with applicable law, including student-privacy laws such as COPPA and FERPA. Our handling of Student Data is described in the Privacy Policy and School Data Addendum, which are part of these Terms.
4. Acceptable use
You agree not to: use the Service unlawfully or to infringe others’ rights; upload malware or attempt to breach security or access another School’s data; reverse-engineer or resell the Service; or use it to store information you are not authorized to hold. We may suspend accounts that put students’ data or the Service at risk.
5. Plans, trials, and billing
- Free trial. New Schools may start with a free trial (currently 30 days). No charge is made during the trial, and you may cancel before it ends.
- Fees. Paid plans are billed through our payment processor (Stripe) on a recurring basis at the price shown at signup (for example, per family or per active student). You authorize recurring charges until you cancel.
- Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, or similar taxes associated with your subscription, except taxes based on our net income. Where we are required to collect such taxes, they will be added to your invoice.
- Changes. We may change prices with reasonable prior notice, effective at your next billing cycle.
- Cancellation and refunds. You may cancel at any time; access continues through the paid period. Except where required by law, fees already paid are non-refundable, and partial billing periods are not prorated.
6. Your data and export
As between you and us, the School owns its Student Data. We claim no ownership of it. You may export your data at any time, and you may request deletion. On termination, we will make your data available for export and then delete or return it as described in the Privacy Policy.
7. Intellectual property
The Service, including its software, design, and content we provide, is owned by ArcAngel Academics and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, modify, or create derivative works of the Service except as allowed by law.
8. Service availability
We work to keep the Service available and reliable but do not guarantee uninterrupted operation. We may modify or discontinue features with reasonable notice for material changes.
9. Disclaimers
Except as expressly stated, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. ArcAngel Academics is a recordkeeping tool and does not provide legal, accreditation, or compliance advice; compliance checklists in the Service are informational only.
10. Limitation of liability
To the maximum extent permitted by law, ArcAngel Academics will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost data or profits. Our total liability arising out of or relating to the Service will not exceed the amount you paid us in the 12 months before the claim.
Exclusion of indirect losses. Without limiting the foregoing, ArcAngel Academics will not be liable for any consequential or indirect damages — including lost profits or secondary business interruption resulting from data loss — arising out of or relating to the Service, even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold harmless ArcAngel Academics from claims arising out of your misuse of the Service, your violation of these Terms, or your entry of data you were not authorized to provide.
12. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access for material breach of these Terms or to protect students’ data or the Service, with notice where practicable.
13. Changes to these Terms
We may update these Terms. For material changes we will provide reasonable notice. Continued use after changes take effect means you accept them.
14. Governing law and disputes
These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-laws rules. You and ArcAngel Academics agree that the state and federal courts located in Kansas will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party consents to venue and personal jurisdiction there.
